Assistant General Counsel – Corporate Governance & Securities
As our Assistant General Counsel in the Corporate Governance & Securities Center of Excellence (“COE”), you will review, draft and negotiate a wide-range of agreements and documents supporting NIKE, Inc., its subsidiaries and affiliates.
You will work closely with the Company’s enabling functions, including NIKE’s Tax, Treasury and Financial Reporting groups, as well as the Company’s philanthropic arm working with NIKE’s Global Community Impact COE and the NIKE Foundation.
While located at our World Headquarters near Beaverton OR, this is a dynamic and global role allowing for interaction with teammates located throughout the world, primarily in Singapore, China and the Netherlands.
You will collaborate with various internal stakeholders across subject matters and geographies, to structure and prepare inter-company agreements relating to domestic and international entity formation and establishment, including capitalization and financing, and on-going operations, including licensing, service and agency agreements, as well as secondment and other employment-related arrangements, to ensure compliance with applicable laws, rules and regulations.
You will work with our Treasury Group to negotiate various agreements with NIKE’s banking partners to provide for bank accounts, liquidity, short and long term investment vehicles, ISDAs and CSAs to facilitate derivative trading, as well as repurchase agreements.
In addition, you will assist on matters involving public disclosure, such as our earnings releases and filings of required reports under the ‘33 and ‘34 Act. You will also collaborate and respond to questions regarding United States securities laws and will counsel and advise the company on its internal compliance policies and procedures.
As an advisor to NIKE’s philanthropic teams you will draft, negotiate and review grant agreements, conduct diligence on potential partners and counsel the team on how to efficiently manage a corporate foundation and conduct cause marketing campaigns. More generally, you will identify legal issues, provide analysis of legal risks and create and implement solutions structured to achieve business objectives efficiently.
You will act as an advisor and counselor and will prepare and deliver training programs designed to enhance compliance and avoid litigation. In addition, you will be an in-house attorney and will retain and manage outside legal counsel, providing specialized services to the company, including the proper selection of outside counsel and effective management of the provider of legal services to ensure cost-effective representation.
Requirements for the position include
Member, in good standing, of at least one U.S. State Bar and willingness to commit to membership in the Oregon State Bar
5+ years of experience in the practice of general corporate law
Law firm experience in several of the following specialty areas is preferred: general corporate and transactional, with an emphasis on inter-company transactions, securities, finance, including capital markets and lending, tax, mergers and acquisitions, secured transactions and corporate philanthropy
Experience in domestic and international matters is preferred
Experience in a corporate legal department is helpful
Demonstrated experience providing strategic guidance to a business
Strong leadership skills – able to influence at a variety of levels and across functions in a complex matrix organization
